Terms of Service

These Terms of Service ("Terms") govern your use of Level Parking's parking facilities, website, mobile applications, and contactless payment services (collectively, the "Services"), operated by Level Parking, LLC ("Level Parking," "we," "us," "our").

By using the Services — including parking a vehicle at a location we operate, creating an account, starting a parking session, or enabling Checkout-Free — you agree to these Terms. If you do not agree, do not use the Services.

These Terms are effective as of the "Effective Date" shown above and replace any prior Terms of Service we have published.

When you park at a Level Parking location, you agree to pay the posted rate for the time you occupy a parking space. Rates are posted at each location and on our website. You are responsible for selecting the correct zone, time, and vehicle.

Most Level Parking locations use license plate recognition (LPR) cameras. When you enter a lot, our cameras capture your plate. We use that capture to match you to a paid session, a subscription, a validation, or a Checkout-Free enrollment. If we find no authorization, the session may be treated as unpaid and subject to enforcement.

All Level Parking locations post signage describing rates, payment methods, and — where applicable — LPR-based enforcement and Checkout-Free. By entering, you agree to the posted terms at that location in addition to these Terms.

Checkout-Free lets you park without stopping at a kiosk or opening an app on exit. You enroll by completing a payment at a Level Parking location and affirmatively consenting to enrollment during checkout. Once enrolled, when our cameras recognize your vehicle at any Level Parking location, we automatically charge the card you have on file on exit and send you a text-message receipt.

You authorize Level Parking to charge the card you enrolled for parking sessions recognized at our locations, up to the maximum charge per session configured at each location (typically $100 or less).

Your authorization is documented in our systems with a timestamp, consent version, and (where available) the IP address and browser identifier from which you consented. This authorization remains in effect until you revoke it (see §3.6).

Important — additional authorization for the paived.io network. Enabling Checkout-Free at a Level Parking location also authorizes paived.io, Inc. to charge you at OTHER participating paived.io merchants. That separate authorization is described in §6.4 below and is captured via a distinct, conspicuous affirmation at the time of enrollment. You are not enrolled in Checkout-Free until you have given both authorizations.

When you are enrolled, we send transactional text messages:

• On entry: a recognition confirmation.
• On exit: a receipt showing the amount charged and the card ending in the last four digits.

Standard carrier message and data rates may apply. Reply STOP to opt out of non-essential messages. Reply HELP for help.

• Declined cards. If a charge fails, we will retry up to three times. If all retries fail, we may treat the session as unpaid and pursue it through normal enforcement (see §5).
• Disputes. You may dispute any charge by contacting info@lvlparking.com within 60 days of the charge. If we confirm an error (wrong plate, duplicate charge, mis-pricing), we will refund. Disputes raised after 60 days may be considered but are not guaranteed.
• Chargebacks. Initiating a chargeback without first contacting support is not permitted by these Terms. If a chargeback is filed, we may suspend your Checkout-Free enrollment pending resolution.

Charges that are properly authorized (your vehicle entered, you were enrolled, your card was validly on file) are non-refundable except at our discretion or as required by law.

You can disable Checkout-Free at any time:

• From your account on app.lvlparking.com/checkout-free/manage.
• By contacting info@lvlparking.com.

After revocation, we will not charge your card for future sessions at any Level Parking location. You remain responsible for any session already in progress at the time of revocation. Tokenized card references are retained for a limited period after revocation for dispute resolution and audit; you can request immediate deletion via privacy@lvlparking.com.

Withdrawing from Checkout-Free at Level Parking does not, by itself, withdraw you from the paived.io network. To withdraw from paived.io network-wide, follow §6.5 below.

• Rates displayed include or exclude taxes as posted at the location. Where taxes are added, they are disclosed before you complete payment.
• Transaction fees may be added as disclosed at checkout.
• We use Square as our payment processor for Level Parking charges. By paying, you also agree to Square's terms (https://squareup.com/legal).
• Future charges made through the paived.io network at other merchants may be processed by paived.io's payment processor (paived.io currently uses Stripe Connect; see §6).
• All prices are in U.S. dollars unless noted.

If we cannot match a vehicle to a paid session, subscription, validation, or valid Checkout-Free enrollment, the session may be treated as unpaid. Unpaid sessions may be routed to our enforcement partners (e.g., nfors.ai), which may:

• Identify the registered owner via state DMV records, consistent with the federal Driver's Privacy Protection Act (DPPA, 18 U.S.C. § 2721) and applicable state law.
• Send a parking notice by mail.
• Assess enforcement fees disclosed on the notice.

Enforcement notices are separate from these Terms and governed by the notice's own terms, applicable state law, and our enforcement partner's policies. DMV-sourced data is used only for enforcement of unpaid sessions; it is not shared with the paived.io network and is not used for any commercial or marketing purpose.

Level Parking is part of the paived.io network. paived.io, Inc. is a separate company that operates an identity, payment, and loyalty network across multiple merchants — today including Level Parking, with additional merchants joining over time. This section describes what that means for you.

paived.io and Level Parking have common ownership but are separate legal entities with separate data, separate payment processors, and separate contracts. Level Parking's relationship with paived.io is the same kind of vendor relationship Level Parking has with Square (payments) and Twilio (text messages) — disclosed here so you understand the data flow before you accept these Terms.

When you accept these Terms, the following information about you is shared with paived.io:

• Your phone number.
• Your license plate(s) and the state of issuance.
• Vehicle attributes you have provided to us (make, model, color, year).
• The fact that you have a payment method on file with Level Parking. (We do NOT share your card number, CVV, or any full card data — only a reference that lets the paived.io ledger know a payment method exists. The card itself remains stored at Square and your card issuer; only tokenized references move.)
• Your visits to Level Parking locations (date, time, location, plate match) — for paived.io to record on the cross-merchant network.

paived.io does NOT receive any of the following from us:

• Your DMV record or driving history.
• Your face or any biometric data beyond the text characters of your license plate. We do not share images, facial features, or any biometric identifier; we share only the plate's letters and numbers.
• Your physical mailing address, beyond what is necessary to settle a card payment with your card issuer.
• Your Social Security Number or any government identifier.
• Your marketing preferences with Level Parking. paived.io may send you marketing messages only if you separately opt in through a paived.io surface; we do not opt you in on paived.io's behalf.

By accepting these Terms (without also enabling Checkout-Free — see §6.4 for that separate authorization), you authorize:

• Network membership. You become a "Driver" on paived.io's network, with paived.io holding the identity information listed in §6.1.
• Plate lookup. Other paived.io merchants you visit in the future may recognize you by your license plate when you approach their facilities, the same way Level Parking does today.
• Loyalty accrual. Your visits to Level Parking locations may contribute to a cross-merchant loyalty balance held by paived.io, which you may be able to redeem at participating merchants in the future.

These are the only paived.io scopes triggered by accepting these Terms. Acceptance of these Terms does NOT authorize paived.io to charge you at any other merchant. The charge authority is a separate affirmation at the time you enable Checkout-Free — see §6.4.

Read this section carefully. It authorizes payments at merchants other than Level Parking.

Enabling Checkout-Free at a Level Parking location authorizes paived.io to charge you at ANY participating paived.io merchant using a payment method you have stored on the paived.io network. This is a one-time authorization — you will NOT be asked to confirm at each new merchant. The card you stored when you enrolled at Level Parking, plus any payment method you later add through the paived.io network, may be charged by other paived.io merchants when you transact with them.

The current list of participating paived.io merchants is published at paived.io/network and may grow over time. By enabling Checkout-Free, you authorize paived.io to charge you at any merchant on that list, both today and in the future, without requiring you to re-confirm at each merchant.

Because this authorization is broader than ordinary point-of-sale consent, we capture it with a distinct, conspicuous affirmation at the time you enable Checkout-Free — separate from your acceptance of these Terms. You are not enrolled in Checkout-Free until you have given that distinct affirmation. The exact language of the affirmation is included in the audit record of your enrollment, alongside the date, time, IP address, and browser used.

You can withdraw this authorization at any time — see §6.5.

You may withdraw your participation in the paived.io network at any time. To withdraw:

• Visit paived.io/account and request removal, or
• Email support@paived.io with the request, or
• Contact us at info@lvlparking.com and we will forward the request to paived.io on your behalf.

Withdrawal:

• Stops paived.io from sharing your information with any new merchants.
• Stops any merchant — including Level Parking — from initiating new charges via the paived.io network.
• Does NOT cancel your Level Parking account. You can continue to use Level Parking with your card on file at Level Parking even after withdrawing from paived.io network-wide.
• Does NOT reverse charges that have already been authorized and are in process.
• Takes effect within 24 hours across the network.

Withdrawing from Checkout-Free at Level Parking (see §3.6) is a narrower action — it stops auto-charges at Level Parking locations but does not, by itself, withdraw you from the paived.io network. To withdraw from the network entirely, use the channels above.

paived.io publishes its own privacy notice at paived.io/privacy describing how paived.io handles the information it receives from us and any payment methods you add directly through paived.io. Level Parking is not responsible for paived.io's privacy practices; review paived.io's notice for those terms.

As new merchants join the paived.io network, paived.io will list them at paived.io/network. We do not currently provide individual notice to each Driver when a new merchant joins, because the cross-merchant payment authorization in §6.4 is unified — that is the point of network membership, and it is why we capture the authorization conspicuously up front.

If you no longer wish to participate as new merchants join, withdraw under §6.5.

If you create an account (parker account or guest profile), you agree:

• To provide accurate information and keep it current.
• To safeguard your credentials — you are responsible for activity under your account.
• Not to impersonate another person or misrepresent a vehicle's ownership.

We may suspend or close accounts that violate these Terms, that are used fraudulently, or that have repeated charge reversals or disputes.

You may not:

• Attempt to evade payment or enforcement.
• Use another person's vehicle, plate, or payment method without authorization.
• Interfere with, disable, or circumvent our LPR, gates, kiosks, or other infrastructure.
• Use the Services to harass or harm other users, operators, or staff.
• Scrape, reverse-engineer, or impose unreasonable load on our systems.
• Violate any applicable law.

Our Services integrate with third parties. Your use of those third-party services is also governed by their terms. The principal third parties are:

• Square — Level Parking's payment processor.
• Stripe — paived.io's payment processor (Phase 2+).
• Rekor — vehicle recognition (LPR plate-text extraction).
• Twilio — text messages (transactional and OTP).
• nfors.ai — enforcement partner for unpaid sessions.
• paived.io, Inc. — identity, payment, and loyalty network (see §6).

We own the Services, including software, designs, logos, and content, or we license them from third parties. We grant you a limited, non-exclusive, non-transferable license to use the Services consistent with these Terms. You may not copy, modify, or create derivative works of our proprietary material.

The "paived" and "paived.io" marks are the property of paived.io, Inc. The "Level Parking" mark is the property of Level Parking, LLC. Use of either is governed by the owner's terms.

The Services are provided "as is" and "as available." We do not warrant that the Services will be uninterrupted, error-free, or fit for any particular purpose, to the maximum extent permitted by law.

LPR can misread plates. OCR accuracy is not 100%. If we misidentify a vehicle, we will correct and refund, but we do not guarantee zero error.

We are not the owner or operator of every lot you may use; the lot operator's posted rules and posted hours also apply.

To the maximum extent permitted by law, Level Parking and its affiliates, officers, employees, and agents are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services.

Our total liability for any claim arising out of these Terms is limited to the amount you paid us for parking in the 12 months preceding the claim, or $100, whichever is greater.

paived.io, Inc.'s liability for charges initiated by paived.io is governed by paived.io's own terms. These limitations do not extend Level Parking's liability to paived.io's actions, nor do they extend paived.io's liability to Level Parking's actions.

Some jurisdictions do not allow these limitations; they apply to the extent permitted.

You agree to indemnify and hold Level Parking harmless from claims, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services.

We may update these Terms. Material changes will be announced on our website and, where required, by email or text message. The version string and effective date at the top of this document identify the current version. Past versions are archived upon request. Your continued use of the Services after an update constitutes acceptance of the updated Terms — except for material changes to §6 (paived.io network) and §3.2 / §6.4 (cross-merchant payment authorization), which require a fresh affirmative acceptance.

Informal resolution first. Before filing a formal claim, contact info@lvlparking.com with the details of your dispute. We will try to resolve it within 30 days.

Governing law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

Venue. Any formal claim must be brought in the state or federal courts located in Escambia County, Florida.

Mandatory binding arbitration. Except for claims for injunctive relief brought individually and except for matters within the jurisdiction of small-claims court, all disputes between you and Level Parking arising out of or relating to these Terms or the Services — including disputes about the §6.4 cross-merchant payment authorization — must be resolved by individual, binding arbitration before a single arbitrator under the American Arbitration Association's Consumer Arbitration Rules (adr.org/consumer). The arbitration will be held in Escambia County, Florida, unless you and Level Parking agree in writing to another location or you (the consumer) elect to participate remotely. Level Parking will pay all AAA administrative and arbitrator fees in excess of the consumer cap set out in those Rules.

Class-action waiver. You and Level Parking each waive any right to bring or participate in a class, consolidated, or representative action. The arbitrator may not consolidate the claims of multiple parties without all parties' written consent.

Opt-out. You may opt out of the mandatory-arbitration provision above within 30 days of your first acceptance of these Terms by emailing arbitration-opt-out@lvlparking.com with your name, the phone number associated with your Level Parking account, and a clear statement that you opt out. Opting out preserves your right to pursue claims in court (small-claims and Escambia County per the Governing law and Venue provisions above).

Arbitration severability. If the class-action waiver above is found unenforceable in your jurisdiction or for your dispute, the entire mandatory-arbitration provision in this §15 (but not the rest of these Terms) becomes void, and claims will be resolved in court as set out in the Governing law and Venue provisions above.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. If §6.4 (cross-merchant payment authorization) is found unenforceable in your jurisdiction, that finding does not invalidate the rest of your acceptance of these Terms — it simply means paived.io will not initiate cross-merchant charges against you, and you may continue to use Checkout-Free at Level Parking locations.
